Four images are placed in a directory called "_system_" on the root of the card.
The images are as follows:
logo.bmp – Background of the Top Screen of M3 simply’s main menu.
icons.bmp -- Background of the Bottom Screen of M3 simply’s main menu.
bckgrd_1.bmp -- Background of the Top Screen of M3 simply’s file browser.
bckgrd_2.bmp -- Background of the Bottom Screen of M3 simply’s file browser.
The name of the images cannot be changed.
Make sure the picture is .bmp format, 8-bit/24-bit;
Make sure the picture is 256*192 pixels.
I´m Nearly sure that you are not making it in the correct image format...

Usage
How To Skinning Your M3 Simply
1. Unzip Skin using Winzip or a similar program .
2. After unziping, you will find a readme and a folder named "_system_". Inside system, there will be four bitmap images, and another folder called "ebook".
3. To use this skin on your M3 Simply first select the four bitmaps found directly inside the "_system_" folder. Copy those directly to the "_system_" folder on your MicroSD card. These four images will form the base skin and it's menus. If you have the latest firmware, it also lets you skin the ebook reader. To use this feature, copy the two bitmaps from the _system_/ebook folder, and copy these to the _system_/ebook folder on your card.
4. Once these images are copied, your M3 Simply will be skinned .
5. Happy skinning!
Although, new firmwares have a special folder for 12 different skins, you may try to replace one of them, and change between different skins by pressing select at the main menu. Source
